In this Agreement, SIRIUS and the Customer will be individually referred to as the "Party" and collectively as the "Parties."

BOSS AI APPLICATION

The BOSS AI Application is a digital tool designed by SIRIUS to assist the Customer in the selection and evaluation of personnel candidates. All intellectual and industrial rights belong to SIRIUS, and the Customer is granted the right to use the application under the terms specified in this Agreement.

SUBJECT OF THE AGREEMENT

The subject of this BOSS AI Application End User License Agreement (hereinafter referred to as the "Agreement") is the use of the BOSS AI Application and/or Web Portal created by SIRIUS by the Customer under the conditions specified in this Agreement, as well as the determination of the rights and obligations of the Parties.

DATE AND DURATION OF THE AGREEMENT

The Agreement is established upon signing. It becomes effective on the signing date and is valid for one (1) year.
If the Agreement is not terminated by either Party one month before the end of the term, it will be renewed for one more year under the same conditions. The fee for the renewed period will be mutually agreed upon by the Parties. This condition will also apply to subsequent renewals.

FEE, INVOICING, AND PAYMENT TERMS

The setup fee is …… TL and will be paid by the Customer to SIRIUS within 3 (three) business days following the signing of the Agreement. The monthly usage fee for an account with …… users is …… TL, and an invoice will be issued by SIRIUS at the end of each month. The Customer will pay the invoice amount to SIRIUS within 10 (ten) days of the invoice date.

SIRIUS' OBLIGATIONS

  1. Upon signing the Agreement and payment of the setup fee, a User Account will be created for the Customer on the Web platform by entering the company's details.

  2. SIRIUS will assign a User Name and Password to a representative designated by the Customer.

  3. SIRIUS will provide training on the use of the application/web portal to the Customer or the Customer's designated personnel, either face-to-face or online, on a mutually agreed date.

  4. SIRIUS is responsible for investigating any defect/fault notifications reported by the Customer and, if confirmed, resolving the issue within a reasonable time frame.

CUSTOMER'S OBLIGATIONS

  1. The Customer will pay the fees specified in Article 5 of this Agreement in full and on time to SIRIUS.

  2. The Customer is responsible for providing SIRIUS with the necessary information for the execution of the Agreement.

  3. The Customer accepts, declares, and undertakes that the information entered into the system during account setup and usage will be accurate, complete, and correct.

  4. In case of any defect/fault, the Customer will grant SIRIUS personnel access to physical areas or systems, either on-site or remotely, for investigation and intervention.

  5. The Customer declares that it has reviewed the technical details of the services to be received under this Agreement and confirms that it has the necessary infrastructure and requirements for the system to function properly.

  6. The Customer acknowledges and undertakes that the data entered into the system will be stored in cloud systems provided by third-party suppliers contracted by SIRIUS and will not claim any rights or assert violations of confidentiality in this regard.

SERVICE LEVEL OF THE APPLICATION AND PORTAL

  1. The BOSS AI Application and Portal are made available to the Customer as designed and configured by SIRIUS. Unless otherwise agreed in writing by the Parties, no customization services will be provided. If the Customer requests customization, the service will be provided for an additional fee and upon mutual agreement of service conditions.

  2. SIRIUS reserves the right to make changes, release new versions, and enhance the Application based on feedback from the Customer and other clients without prior notice. However, SIRIUS is not bound by the Customer's requests or approvals when making these improvements.

  3. SIRIUS will ensure the availability of the Application during the contract period, except for scheduled downtime for maintenance, updates, and situations beyond SIRIUS's control.

  4. The Customer will notify SIRIUS immediately in case of any technical issues in the Application. If necessary, SIRIUS may intervene remotely or via phone to resolve the issue. The Customer agrees in advance to grant access to the Application and relevant data for this purpose.

CONFIDENTIALITY AND DATA PROTECTION

The Parties agree to comply fully with the provisions of the Confidentiality Agreement attached hereto and forming an integral part of this Agreement regarding the protection of confidential information and personal data.

INTELLECTUAL PROPERTY RIGHTS

  1. SIRIUS grants the Customer a non-exclusive, non-transferable, modifiable license to use the BOSS AI Application for the Customer's own use, limited to the term of this Agreement. All intellectual and industrial property rights related to the Application remain with SIRIUS, and the Customer's right to use the Application does not imply any transfer of these rights.

  2. All materials provided to the Customer under this Agreement, including but not limited to designs, texts, logos, and graphics, remain the intellectual property of SIRIUS.

FORCE MAJEURE

Examples of force majeure include strikes, lockdowns, war, terrorist activities, natural disasters, infectious diseases, or other events beyond the control of the Parties. If force majeure prevents a Party from fulfilling its obligations, it must notify the other Party immediately in writing.

TERMINATION AND PENALTIES

  1. If either Party fails to meet its obligations, the other Party may give written notice and allow 15 days for remedy. If not remedied, the Agreement can be terminated.

  2. In case of bankruptcy, the Agreement may be terminated immediately.

  3. If the Agreement is terminated without fault, the breaching Party must pay 50% of the remaining annual fee as a penalty.

ASSIGNMENT OF THE AGREEMENT

The Agreement cannot be transferred without written consent.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is deemed invalid, the rest shall remain in effect.
Disputes will be resolved in Istanbul Courts.
